STANDARD FORM CONTRACT
Please read the Standard Form Contract before signing up or ordering services on NIC.UA.
General Provisions
- This document is a public offer of NIC.UA LLC (hereinafter referred to as the «Contractor») and contains all the essential terms and conditions for the provision of services (Articles 633, 641 and Chapter 63 of the Civil Code of Ukraine ).
- Pursuant to paragraph 2 of Art. 642 of the Civil Code of Ukraine (CCU), in case of acceptance of the terms and conditions set out herein and signing up at https://nic.ua, a legal entity or individual that hereby accepts this offer shall becomes the Customer (hereinafter referred to as the «Customer»).
- The Contract can be executed in one of the following ways:
- a) Both the Customer or authorised representatives of the Customer and the Contractor sign it (including using an electronic digital signature);
- b) The Customer signs up at the Contractor’s website at https://nic.ua (hereinafter referred to as the «Contractor’s Website») in accordance with the Instructions published on the Contractor’s website (hereinafter referred to as the «Contractor’s Instructions»);
- c) The Customer settles the invoice issued using the Contractor’s web interface, in full compliance with the terms and conditions specified herein.
Terms and Definitions
- Server means a piece of computer software and hardware that performs services at the request of the client, providing the client with access to certain resources.
- SSL Certificate means a digital document that allows the server and the client to authenticate each other for further exchange of information in encrypted form.
- Cloud server means a model of an online storage where data are stored on multiple servers distributed in a network that are provided for use by clients that perceive it as a single virtual server.
- Website means a set of data, electronic (digital) information, other copyright items and/or items subject to related rights, etc., interconnected and structured within the website address and/or the account of the owner of this website accessed via an Internet address, which may consist of a domain name, directory entries or calls and/or a numerical address according to the Internet Protocol.
- Web page means an integral part of a website, which may contain data, electronic (digital) information, other copyright items and/or items subject to related rights, etc.
- Hosting means a service for providing resources for placing information on a server that has constant access to the network.
- Web hosting or shared hosting means a type of hosting where many websites of different Customers reside on one web server.
- IP address means a unique identifier, address of a device, usually a computer, connected to a local network or the Internet, used in the routed Internet Protocol of the TCP/IP family.
- SSH access means a protocol that allows the direct access to the server with user credentials for remote control of the operating system, including files and folders.
- Domain name (Domain) means a symbolic name used to identify areas (zones) that are branches of the hierarchical namespace of the Internet, or domains, in accordance with the DNS domain name system. Domain names allow to address Internet nodes and network resources located there (websites, email servers, other services) in a human-friendly manner.
- Registrant means a person on whose behalf the domain name is registered and delegated.
- Account owner (Customer) means a person that signed up at the Contractor’s website and gained access to the account where the account owner can order Services and manage orders.
- Registrant’s Representative (Customer) means a person that signed up at the Contractor’s website and gained access to the account (i.e. the account owner) where they can order services for registration, maintenance and management of domain names on behalf of the Registrant’s domain.
- Payer means a person indicated by the Customer in the corresponding field of the order of the Service on the Contractor’s website, who undertakes to pay for the Services under the Contract on behalf of the Customer.
- Domain billing contact means a person authorised by the Registrant to receive invoices for the provision of registration services, support and renewal of domain name registration.
- Name server (NS) means a distributed system for converting a domain name (name of a computer or other network device) into an IP address and vice versa.
- Nic-handle means a network identifier that contains contact information about a specific individual or legal entity. Nic-handles are used to establish links to contact information about the owner (technical contact etc.) of a domain name.
- Contact (questionnaire) means contact information of a legal entity or individual performing one of the roles in relation to a domain name or other Service provided by the Contractor.
- Whois means a whois service designed to obtain contact information and technical information about domain names, IP addresses and other network information. Whois service is a public Internet resource.
- Bonuses — means virtual points awarded to the Customer after him making purchases of services on the Contractor’s website.
- A Bonus Program — means a Customer’s reward program, which is built upon a system of accumulating and using that is based upon a special software.
- A Bonus account — means set of accounting and information data of the Customer about the number of received / spent bonuses on his the current balance.
1. Subject Matter of the Contract
- 1.1. The Contractor hereby undertakes to provide Internet services to the Customer, namely registration and support of domain names, shared hosting (web hosting), dedicated hosting, cloud hosting, SSL certificates, IP addresses and other services specified on the Contractor’s website, including service support, technical support by phone and email (hereinafter referred to as the «Services»). Description, full scope and cost of the Services are published on the official website of the Contractor, which is a public resource.
- 1.2. Upon acceptance hereof, the Customer shall pay for the Services selected in accordance with the Tariffs indicated on the Contractor’s website.
- 1.3. The Customer shall be provided with the following:
- a) a unique username and a password that allow managing orders on the Contractor’s website; this information is generated by the Customer independently when signing up at the Contractor’s website;
- b) registration of domain names and their support on the primary and secondary DNS name servers, if ordered;
- c) the option of organising email names with the amount of information stored at any time within the quota provided for by the tariff plan, if ordered;
- d) the option to use any available software and functions;
- e) obtaining the necessary data to connect to the Service and configure the software, email or phone consultations with the support service for the Service (support service phone, email feedback form, as well as other contact methods indicated on the official website of the Contractor);
- f) hosting (shared, dedicated or cloud hosting), if ordered;
- g) other services indicated on the Contractor’s website.
- 1.4. The Services do not include setting up or diagnostics of a personal computer, modem and the Customer’s software, either in the Contractor’s office or on a call-out basis.
- 1.5. Setting up, programming, fault finding on the website are usually not included in the Services but may be offered as a separate paid service at the discretion of the Contractor.
2. Domain Name Registration Conditions and Procedure
- 2.1. Domain names are registered in accordance with the Contract, the Rules/Regulations of the relevant domain, the Out-Of-Court Domain Dispute Resolution Policy and Rules (.UA Domain Name Dispute Resolution Policy), Rules for .UA Domain Name Dispute Resolution Policy, the World Intellectual Property Organization Supplemental Rules for .UA Domain Name Dispute Resolution Policy, the registration procedure established by the Contractor and published on the Contractor’s website as well as other customary public documents.
- 2.2. The Contractor shall register a domain name on the basis of a contract with the administrator of the .UA domain, administrators of regional zones of Ukraine, and other registration agencies.
- 2.3. Domain name registration and support services shall be provided after the Customer provides the data specified in Clause 2.5. hereof.
- 2.4. A new domain name shall be registered provided that all the applicable conditions, rules and regulations for its registration are met, including:
- The domain name is free at the time of registration;
- Customary moral and ethical standards are not violated;
- The request contains complete, up-to-date and correct information required for the registration;
- The rules/regulations of the domain zone selected by the Customer are observed.
- 2.5. For the purpose of this Contract, «reliable data» mean the data provided by the Customer during registration on the Contractor’s website as well as when ordering the corresponding Service, that are necessary to identify the Customer and/or the Registrant:
- 2.5.1. For a legal entity, «data reliability» can be confirmed with the following documents (copies can be certified by the seal of the legal entity (if any) and the signature of an authorised person, including using an EDS):
- certificates/extracts of state registration (for a foreign legal entity, another document on registration or assignment of a number in the register of legal entities, if this register is maintained in the country of incorporation);
- certificates of registration with a tax authority (for a foreign legal entity, another document on tax registration, if this type of registration exists in the country of incorporation);
- a document (minutes of the general meeting of shareholders; a decision of a participant or other document) on the appointment to a position of a person entitled to act on behalf of a legal entity without a power of attorney under the Charter;
- a Power of Attorney authorising the Customer’s representative;
- extracts from the branch/representative office regulation on the establishment of a separate subdivision (for separate subdivisions of legal entities, in addition to the above documents).
- 2.5.2. For an individual, «data reliability» can be confirmed by the following documents. Any photo copies/photos provided shall be original copies, without any changes or any text applied thereon, made on the day of sending a request to the technical support service of the Contractor:
- original identity document in accordance with the current legislation of Ukraine (at the Contractor’s office);
- photo copies (photos) of two or more identity documents;
- copy of the identity document with the attachment of the Customer’s photo, which clearly shows the face and both hands holding a sheet of paper where the Customer’s email and PIN-code from its account are written by hand (not printed);
- original or copy of the power of attorney (notarised), if the Contract is executed on the basis thereof.
- 2.5.1. For a legal entity, «data reliability» can be confirmed with the following documents (copies can be certified by the seal of the legal entity (if any) and the signature of an authorised person, including using an EDS):
- 2.6. When submitting the documents specified in Clause 2.5.2., the Contractor shall fulfil the following requests (drawn up as applications that can be signed using an electronic digital signature) of the Customer (individual):
- a) to change the identifying information of the Registrant of the domain;
- b) to transfer domain support to another Registrar;
- c) to transfer the domain administration rights to another Customer;
- d) to waive administration rights (cancellation of registration/deletion of the Service);
- e) other actions of the Customer, at the request of the Contractor.
- 2.6.1. If the Customer is a legal entity, requests shall be performed only on the basis of original documents or an electronic document using the electronic digital signature of an authorised person and an electronic seal (if any).
- 2.6.2. Certain requests of the Customer’s orders can only be performed on the basis of the original request. The Contractor is also entitled to request notarised documents from the Customer.
- 2.7. The domain shall be deemed to be registered, and the Domain Registration Service shall be deemed to be rendered upon assignment of the registered status to the domain in the Registry (REGISTERED or OK or other in accordance with the Registry rules).
- 2.8. The Domain Registration Renewal Service shall be deemed to be rendered upon entry of the information on renewing the registration into the Registry. In this case, domain registration is usually renewed for the period specified by the Customer, starting from the previously established expiration date of the domain registration period, but not less than one (1) year.
- 2.9. The Customer shall be entitled to register an unlimited number of domains hereunder.
- 2.10. The Customer certifies that at the time of filing each domain registration request, neither the registration of the domain name nor the procedure for its use violate any intellectual property rights of any third parties, as well as the current legislation.
- 2.11. The Contractor’s liability for each specific domain name shall terminate upon expiration of the domain name registration, even if it continues its operation or has not yet been removed from the Registry.
- 2.12. The Customer has a priority right to renew a domain name after the expiration of its registration within 28 days (for each domain name, this period may be different) or less than 28 days, in those domain zones where the priority is less than 28 days. The Contractor does not guarantee and shall not be liable for the impossibility of but shall make every effort to ensure priority renewal.
- 2.13. The cost of renewing a domain name after the expiration of its registration period may differ from the standard cost of renewing a domain name.
- 2.14. Regardless of the zone where the domain name is registered, upon expiration of the registration period, the domain can be removed from the Register or transferred to / registered by a new Registrant.
- 2.15. When placing an order for registration of a domain name, the Customer shall provide the Contractor with its contact details and/or contact details of the person the Contractor is acting on behalf of. If the Customer wishes to keep the domain name ownership confidential, the domain can be registered in the name of the Contractor’s service contact, provided that it is technical option is available in the selected domain zone.
- 2.16. When registering a domain name using the service contact of the Contractor, the latter shall act exclusively as a representative of the Customer, and is at any time entitled to change the service contact to the Customer’s contact in accordance with the requirement specified on the Contractor’s website or upon written request.
- 2.17. When using the service contact of the Contractor, the latter shall acquire or claim no rights to such domain names, and shall not be liable for the legality of registration, maintenance and use of the domain names instead of the Customer.
- 2.18. By default, the technical contact shall be the Contractor in all registered domain names, unless otherwise specified by the Customer.
- 2.19. In any registered domain name, the Contractor is entitled, at its discretion, to open (update) the data of the Registrant and/or the Customer, even if the Customer has hidden them.
- 2.20. Upon receipt of official requests from state, law enforcement, judicial authorities, as well as other requests executed in accordance with the requirements of the current legislation on the provision of data about the Registrant of a domain name, the Contractor is entitled to provide such data at its discretion even if they are hidden in the public register.
- 2.21. If the Customer registers or orders the maintenance of a domain name in the name of another person (Registrant), the Customer certifies that the Registrant has granted such rights to the Customer, but the rights to manage the domain name have been transferred to the Customer. At the request of the Customer, the Contractor is entitled to perform operations with the domain name, provided that the liability for such actions rests solely with the Customer.
- 2.22. The Customer, acting as a Registrant’s Representative, shall remain liable to the Contractor for compliance with the terms and conditions hereof.
- 2.23. If the Customer acts as the Registrant’s Representative, the Registrant reserves the right to transfer the domain to another account on the Contractor’s website, as well as to change the Registrar. Upon request for a domain transfer to the Registrant’s account, the Contractor shall notify the Registrant’s Representative (Customer) of the domain transfer by sending a notification thereof to the contact email, and the domain shall be transferred after 1 business day. If the request to change the Registrar came from a Registrant who is not a Customer, the Contractor shall notify the Registrant’s Representative (Customer) about the domain transfer by sending a notification thereof to the contact email. The notifications are for information only.
- 2.24. The Customer/Registrant shall comply with the .UA Domain Name Dispute Resolution Policy, the Rules for .UA Domain Name Dispute Resolution Policy and the World Intellectual Property Organization Supplemental Rules for .UA Domain Name Dispute Resolution Policy.
- 2.25. The Customer/Registrant agrees that the disputes listed in Clause 4 of the .UA Domain Name Dispute Resolution Policy that arise with third parties in relation to a private second-level domain name in the .UA domain, of which the Customer/Registrant is a registrant, shall be resolved through compulsory administrative proceedings by the WIPO Arbitration and Mediation Center; agrees that its domain name may be blocked, deleted or reassigned by the Registrar in the manner prescribed by the .UA Domain Name Dispute Resolution Policy, the Rules for .UA Domain Name Dispute Resolution Policy and the World Intellectual Property Organization Supplemental Rules for .UA Domain Name Dispute Resolution Policy, including pursuant to decisions of the Administrative Commission of the WIPO Center adopted in accordance with the .UA Domain Name Dispute Resolution Policy, the Rules for .UA Domain Name Dispute Resolution Policy and the World Intellectual Property Organization Supplemental Rules for .UA Domain Name Dispute Resolution Policy.
3. Procedure for Provision and Accounting of Services Rendered
- 3.1. Having selected the type of Service, the Customer shall make a request for the Services using the appropriate forms and means on the official website of the Contractor. Based on the received request, the Contractor shall issue an electronic invoice to the Customer for payment for the selected Service.
- 3.2. The Services shall be provided to the Customer during the term hereof subject to an advance payment against the invoice issued or a positive balance that is at least equal to the cost of the Service on the Customer’s current account (hereinafter CA), or if the cost of the Service can be debited from the payment card attached to the Customer’s account.
- 3.3. The Contractor shall record and stores all information about the Services rendered and the Customer’s payments.
- 3.4. The Contractor shall provide the Customer with access to information on the status of its CA.
- 3.5. The data on the paid bills and information on the Services rendered shall be the evidence of the provision of the Services by the Contractor hereunder.
- 3.6. If the balance on the Customer’s PM is negative, the provision of the Services shall be suspended. The provision of the Services shall be resumed upon payment.
- 3.7. The Customer’s requests shall be considered authorised (verified) and shall be fulfilled by the Contractor if they are sent from the service area on the Contractor’s website. The Customer can access the service area only with its login and password. The Contractor does not have access to the password, and only the Customer knows it; the password can be changed by the Customer on the Contractor’s website at any time independently. At the discretion of the Contractor, the authorisation of the Customer can also be performed using the PIN code, which the Customer can access in its account on the Contractor’s website to provide the PIN code to the Contractor’s employee.
- 3.8. The contact email is the address specified during the signup of the Customer in the signup form on the Contractor’s website. The contact email can be changed by sending a request to the Contractor by email. If the Customer does not have access to the current contact email, the Customer shall send a request to the Contractor from a business email, attaching documents in accordance with Clauses 2.5.1, 2.5.2, or in another manner suggested by the Contractor.
- 3.9. The Customer that has entered into the Contract by accepting the offer (the method specified in Clause 3 (General Provisions) hereof) is at any time entitled to request the Contract signed by the Contractor, as well as Completion Certificates. By agreement of the Parties, the Contract, Completion Certificates and documents hereunder may be signed using an electronic digital signature. In this case, the documents shall be sent to the Customer’s email through the electronic document exchange service. The Parties have agreed to consider the facsimile image of the signature on the invoices and Completion Certificates signed by the Parties hereunder to have the same legal force as the handwritten signature of the authorised representatives of the Parties.
- 3.10. If, within 10 days upon provision of services, the Customer has not requested Completion Certificates from the Contractor or submitted a claim regarding the quality of the services rendered, drawn up in accordance with Clause 7.1. hereof, the services rendered or the work performed shall be deemed to be in compliance with the requirements of the Contract and shall be accepted by the Customer in full.
- 3.11. If the Сustomer has a negative balance on the Сustomer’s checking account the provision of the Services is suspended. The provision of the Services will be resumed after the full repayment of the negative balance.
- 3.12. The Contractor determines the activity of using funds which are available on the Customer’s checking account. If there has not been any movement of funds on the Customer’s checking account for 12 months, the checking account of the Customer is recognized as inactive by the Contractor.
- 3.13. If the Customer’s personal account is recognized by the Contractor as inactive and has a positive balance, the Contractor receives the right to convert the balance into bonuses. 4. Contract Price and Settlement Procedure
- 4.1. The cost of the Services is indicated on the official website of the Contractor.
- 4.2. Payment for the Services shall be made as a pre-payment to the account of the Contractor against the invoice. The invoice shall be issued in the national currency of Ukraine at the commercial bank rate exchange determined as of the date of the invoice. The Customer can also pay using payment cards of international payment systems such as Visa, MasterCard, etc., in real time on the Contractor’s website or otherwise.
- 4.3. The payment shall be made for a period calculated in months, years, depending on the type of service. The Service shall be paid for at least for the minimum period possible for the provision of a specific Service. The maximum period for the provision of the Service shall comply with the applicable regulatory documents and legislation of Ukraine. The payment is a fixed fee and shall be paid by the Customer regardless of the actual use of the Services.
- 4.4. When drawing up payment documents in the Reference section, the Customer shall specify the invoice number. If the invoice number is not specified, the Contractor does not guarantee that the received amounts will be credited towards payment for the Customer’s Services, and the receipt of the payment document shall not be deemed to be acceptance of the Contract.
- 4.5. The payment for the Services shall be considered to be confirmed, and the Customer’s CA shall be considered to be credited upon receipt of information from the bank or payment system about the crediting of funds to the Contractor’s account, subject to the provisions of Clause 4.4.
- 4.6. The Customer shall be solely liable for the correctness of the payments made by the Customer. If the bank details of the Contractor are changed, the Customer is solely liable for payments made to the outdated details after the new details are published on the Contractor’s website.
- 4.7. In case of cancellation of the registration of a domain name before its expiration date, as well as in case of transfer of the domain name to another person or for maintenance to another Registrar, including by a court decision, the amounts paid for registration/renewal services for such a domain name shall not be refunded, and the Contractor’s shall no longer be liable for any such domain name.
- 4.8. In case of early termination of the provision of the Services to the Customer, a refund shall be made for full months of unused time (payment for the month when the service was terminated shall not be refundable) upon submission of the relevant financial documents by the Customer. Refunds for registered domain names are not available.
- 4.9. The Сustomer automatically becomes a member of the bonus program when he purchases the services on the Contractor’s website. The Сustomer gets the opportunity to accumulate bonuses on the bonus account. Services can be paid partially using accumulated bonuses on the terms which are determined by the Contractor.
- 4.10. The Bonuses don’t have a cash expression and cannot be issued to the Customer in cash.
5. Rights and Obligations of the Parties
- 5.1. The Contractor shall:
- 5.1.1. Provide round-the-clock storage, maintenance and performance monitoring of the equipment where the Customer’s resources are located during the entire term hereof.
- 5.1.2. Notify the Customer of any attempts to hack the Server if preventing these attempts required specific actions by the Contractor.
- 5.1.3. Notify the Customer of any changes in the terms of the Contract and the cost of the Services by e-mail at least 10 calendar days prior to their entry into force using the details of the Customer known to the Contractor.
- 5.2. The Contractor shall be entitled to:
- 5.2.1. Unilaterally change the terms of the Contract and the cost of the Services subject to publication of the changes on its website and notifying the Customer.
- 5.2.2. Engage third parties to fulfil its obligations hereunder, provided that the Contractor remains liable to the Customer.
- 5.2.3. Suspend or completely terminate the provision of Services to the Customer, without a refund, in the following cases:
- 5.2.3.1. Non-receipt of pre-payment for the Services;
- 5.2.3.2. Actions aimed at restricting or preventing other users from accessing the Services (including creating an increased load on the hardware of the equipment), as well as attempts of unauthorised access to the resources of the Contractor and to other systems accessible via the Internet;
- 5.2.3.3. Publication, transmission, distribution via the Internet of any information that contradicts the law of Ukraine or international law, including the distribution of materials of SPAM nature;
- 5.2.3.4. Publication or transmission of any information or software that contains computer viruses or other similar components;
- 5.2.3.5. Actions aimed at using, sending, publishing, transmitting, reproducing, providing or in any way distributing information, software or other materials obtained through the Services, in whole or in part, protected by copyright or other rights, without the owner’s consent, as well as send, publish, transmit or in any way distribute any component of the Services provided or works created on the basis thereof, since the Services themselves are also subject to copyright and other rights, subject to the requirement of the owner of such rights to limit the above actions;
- 5.2.3.6. When an attack (DoS, DDoS) is detected on a website, server, domain, user IP address, as well as in the case of traffic generation that exceeds 50 Mbps and is not a temporary surge;
- 5.2.3.7. Hosting phishing sites;
- 5.2.3.8. Failure to respond to the administrative notifications of the Contractor within 3 business days upon sending the notification;
- 5.2.3.9. Receipt of a request or instructions from a government, regulatory or other competent authority.
- 5.2.4. Suspension of the Services under Clause 5.2.3. shall not be considered to be a break in the provision of the Services and shall not be deemed to be a violation hereof by the Contractor.
- 5.2.5. In case of increased (above-standard) needs of the Customer for hardware and other resources provided as part of the ordered Service, offer the Customer to transition to another tariff plan, offer additional services and restrictions, and if the Customer refuses, stop providing Services to the Customer subject to a refund of the amount unused by the Customer. The rate for all tariff packages of web hosting services is 1% of the server resources.
- 5.2.6. Notify the Customer of the Services, advertising campaigns via email, text messages, Telegram, Viber notifications or other similar services.
- 5.2.7. Provide information on official requests in accordance with Clause 2.21.
- 5.2.8. The Contractor shall be at any time entitled, without notifying the Customer, to verify the data provided by the Customer. If the data verification reveals that the documents, data or other information are unreliable, the Contractor is entitled to suspend and/or terminate the provision of the Services until reliable data, supporting documents and related information are provided.
- 5.2.9. Send notifications and alerts about the use and renewal of the Services, about the CA balance, information about the expiration date and cancellation of the CA balance. The Customer can cancel the notifications/alerts by deleting the Services and resetting the balance or repayment.
- 5.2.10. Forward letters/complaints/appeals of third parties to the Customer using special services of the Contractor.
- 5.3. The Customer shall:
- 5.3.1. Request the Services through the Contractor’s website. Fill in all the available fields of the online order form with reliable and correct data. In case of a change in the data, the Customer shall immediately notify the Contractor thereof by e-mail or regular mail. Neither the Contractor, nor the Administrator of the corresponding domain, nor the Registry Operator of the corresponding domain shall be liable for the consequences arising from the incorrectness of the entered information. If a verification of the identity of the Customer/Registrant is required, provide any data requested by the Contractor for the verification. Comply with the terms and conditions set out herein.
- 5.3.2. Make a pre-payment for the Services received in accordance with Clause 4 hereof and the Tariffs in force at the time of payment in a timely manner.
- 5.3.3. Independently monitor the CA balance.
- 5.3.4. Retain the relevant financial documents confirming the payment for the Services.
- 5.3.5. Sign Completion Certificates and send them to the Contractor within 5 business days upon their receipt, and in case of a disagreement, furnish the Contractor with a reasoned refusal to sign the Certificate within the same period. In this case, if the Contractor does not receive a signed Certificate or a reasoned refusal to sign the Certificate within 10 days upon their receipt, the services provided or the work performed shall be deemed to meet the terms and conditions hereof and to be accepted by the Customer in full, which shall be confirmed by the Completion Certificate signed by the Contractor.
- 5.3.6. When settling an invoice from the current account of a legal entity, provide the Contractor with the payer’s registration documents within 3 days upon payment. Should the Customer fail to provide the necessary documents within the above period, the original copies of accounting documents and records for the settled invoice shall be provided to the Customer in accordance with the public data posted in the State Register of VAT Payers.
- 5.3.7. Independently monitor the observance of netiquette.
- 5.3.8. When using the Services, comply with the requirements of the current legislation of Ukraine, international legislation, including refraining from posting illegal materials on the website (pornography, propaganda of national, racial, ethnic hatred, terrorism, hostilities, calls to overthrow the legitimate government in any state, propaganda of drugs, etc.), refrain from violating copyright, related and other rights of third parties. Furthermore, the Customer shall not post electronic (digital) information in violation of copyright and/or related rights of third parties. Due to the lack of legally established methods for determining whether a particular image is pornographic, the Contractor reserves the right to do so.
- 5.3.9. The Customer agrees to receive notifications regarding the provision of the Services by the Contractor by e-mail, short message services (SMS, Viber, Telegram etc.), as well as accepts the use of cookies.
- 5.3.10. When acting as a Registrant’s Representative, the Customer shall provide the Contractor with the consent of third parties (Registrants), whose data the Customer indicated on the Contractor’s website, to the processing of their personal data.
6. Liability of the Parties
- 6.1. The Contractor and the Customer shall be liable for non-performance or improper performance hereof in accordance with the Contract and the current legislation of Ukraine.
- 6.2. Neither the Contractor, nor the Administrator of the corresponding domain, nor the Registry Operator of the corresponding domain shall be liable for the quality of public communication channels the Customer uses to access the Services, and also do not guarantee the receipt of the Customer’s mail from remote networks operating in a way that resulted in the network address being blacklisted by the Contractor’s list-serv.
- 6.3. The Customer shall be fully liable for the safety of its login and password as well as for any losses that may arise due to unauthorised use thereof. Upon the theft of the login and password, which occurred through the fault of third parties, the Customer shall request the Contractor to change the login and password, always attaching supporting documents of an individual/legal entity, as well as the corresponding financial document confirming payment for the Services to the request. Neither the Contractor, nor the Administrator of the corresponding domain, nor the Registry Operator of the corresponding domain shall be liable for the actions of third parties that led to the theft of any information of the Customer.
- 6.4. Should the Customer violate the provisions hereof, including the presentation of valid claims by third parties to the Contractor, the Contractor shall be entitled to suspend or terminate the provision of the Services (with the unilateral termination hereof), and the Customer shall independently settle these claims and reimburse the damage incurred by the Contractor due to these actions.
- 6.5. Neither the Contractor, nor the Administrator of the corresponding domain, nor the Registry Operator of the corresponding domain shall be liable for violation of copyright, related and other rights of third parties, national or international legislation by the Customer. Should the Customer violate the rights of third parties, the Customer shall be fully liable for any damage caused through his unlawful use of the Services.
- 6.6. The Contractor shall not be liable for any misconduct of the Customer associated with the use of a domain name or other service for sending SPAM and other information.
- 6.7. The Customer shall bear all risks of the consequences of actions taken through the Contractor’s website using the Customer’s credentials, including invoicing, changing personal settings, as well as other actions that may entail financial or technical consequences.
- 6.8. The Contractor shall be liable for the failure to receive the ordered Services by the Customer only if the above failure was due to the direct fault of the Contractor. The Contractor shall be liable within the limits of the amount equal to the cost of the Services not received by the Customer.
- 6.9. The Contractor shall not be a proper defendant or co-defendant for any obligations, claims of third parties and costs associated with violation of the terms hereof or legal requirements by the Customer (or other persons using the Customer’s username and password).
- 6.10. Except for the cases expressly specified herein, neither the Contractor nor the Customer shall assign their rights or obligations hereunder without the prior written consent of the other Party.
- 6.11. During the term of the Contract and within three (3) years upon termination hereof, the Parties shall restrict the access of third parties without a legal basis, as well as of employees and officials who are not involved in the performance hereof, and shall protect the confidentiality of information disclosed to each other hereunder.
- 6.12. The Contractor shall be liable within the total amount of invoices paid by the Customer throughout the entire term of the Contract or the term of a specific Service.
7. Claim Consideration and Dispute Settlement
- 7.1. The Contractor shall not accept the Customer’s claims regarding the Services received for consideration unless they are made in writing and provided within 3 business days from the date the dispute arose. The term for consideration of the Customer’s claims is thirty (30) days.
- 7.2. Claims related to the provision of the Services shall be considered only if the Customer provides the relevant financial documents confirming payment for the Services.
- 7.3. To resolve technical issues when determining the fault of the Customer as a result of its misconduct when using the Internet, the Contractor shall be entitled to independently engage competent organisations as experts.
- 7.4. Any disputes arising in relation to domain names shall be considered according to the procedure provided for by the relevant rules/regulations of domain zones. The Parties shall be entitled to seek protection of their violated rights in court.
- 7.5. The Contractor does not have adjudicative power. In particular, the Contractor is not authorised to confirm or deny the accuracy or inaccuracy of the information posted by the Customers on the websites; the presence or absence of rights of third parties to any intellectual property, violations by the Customer of the rights of third parties to trademarks, domain names or any other intellectual property rights.
- 7.6. The Contractor reserves the right to forward to the Customer justified requests/claims/appeals from copyright holders and other persons that consider their rights violated by the Customer of the Services, as well as notifications about the elimination of such violations.
- 7.7. When considering disputes, the Parties are entitled to provide printed emails that include proprietary technical information (headers) as evidence. If there is no proprietary technical information (headers), the emails shall not be admissible as evidence. The correctness of the email headers can be confirmed by the Provider used to send the corresponding email or by independent experts.
8. Force Majeure
- 8.1. The Parties shall not be held liable for full or partial non-performance hereof if they prove that it was the result of force majeure such as natural disasters, war or hostilities, epidemics, damage or malfunction of communication lines, changes in legislation or other extraordinary and unavoidable circumstances beyond the Parties’ control and will, provided that these circumstances directly affected the performance hereof. Force majeure that prevent the performance hereof also includes (but are not limited to) the seizure of the Contractor’s servers on the basis of an appropriate court decision, accidents, illegal actions of third parties, explosions etc.
- 8.2. The Party affected by force majeure shall immediately notify the other Party of the occurrence and termination thereof in writing.
- 8.3. The deadlines for the fulfilment of obligations in case of force majeure shall be extended for the duration thereof. Should force majeure persist for more than three (3) consecutive months, the Contract may be terminated by any Party by sending a notice to the other Party, provided that neither Party is entitled to claim damages from the other Party.
- 8.4. The existence of force majeure shall be confirmed by the official statement of the authorised body of Ukraine or other official documents issued by the authorised bodies.
9. Term and Termination
- 9.1. The Contract comes into force upon crediting of the first pre-payment to the current account of the Contractor or upon signing up at the Contractor’s website if the Service is provided free of charge; if the Contract is executed in writing, it comes into force upon signing by the Customer and the Contractor and shall be valid until expiration of the Service. At the end of this term, the Contract shall be deemed to be terminated.
- 9.2. The Contract shall be renewed automatically provided that the next payment for the extension of the Service is credited on the current account of the Contractor before the expiration of the Contract. If the conditions are met, the Contract shall be automatically renewed for a new term of the Service.
- 9.3. The Contract may be terminated by agreement of the Parties.
- 9.4. In case of violation of the Contract by one of the Parties, the other Party shall be entitled to terminate the Contract unilaterally by sending at least a 14 calendar day termination notice to the Party in breach. The termination notice can also be sent by email to the details of the Party.
- 9.5. The Customer shall be entitled to unilaterally cancel the Contractor’s Services at any time. In this case, the Customer shall send a 30 calendar day termination notice the Contractor and settle arrears, if any.
- 9.6. If any provision hereof becomes invalid, illegal or is excluded from this Contract, this does not entail the invalidity of the remaining terms of the Contract, which shall remain in force and are binding on all Parties.
- 9.7. Upon termination or expiration of the Contract, the Contractor shall retain any electronic information of the Customer in its possession for a period regulated by internal documents.
10. Personal Data Procession Terms and Procedure
- 10.1. The Customer hereby confirms granting its consent to the Contractor to process the Customer’s personal data for the purpose of performance hereof.
- 10.2. The Customer hereby confirms being aware (without additional notice) of with the rights and obligations established by the Law of Ukraine «On the Protection of Personal Data».
- 10.3. The purpose of processing the personal data of the Customer is the ability to provide the Services by the Contractor, conduct mutual settlements, receive invoices, certificates and other documents.
- 10.4. The Customer shall provide personal data when signing up at the Contractor’s website, as well as when placing an order for the Service, to the extent that is necessary to provide the Service. The data are also provided to the extent necessary for mutual settlements, invoicing, issuing certificates or other documents. When providing the Services, the Contractor shall be entitled to request personal information about the potential owner of the rights to a particular Service.
- 10.5. Personal data shall be processed for the purpose of contractual, administrative, legal relations, bookkeeping and tax accounting. The Contractor guarantees and warrants that the Contractor shall not use the personal data of the Customer for any other purpose, except as specified in Clauses 10.3., 10.4. hereof, without proper notification of the Customer.
- 10.6. For the above purpose, the following data shall be processed: full name, address (postal, registration, actual residence), email, phone number, information about actions taken on the website.
- 10.7. Personal data shall be transferred to the Contractor and, depending on the nature of the Service, may also be transferred to the Contractor’s partners, administrators and registrars of domain zones, administrative persons and bodies in charge of the technical configuration, administration and support of the address space of the Internet.
- 10.8. The Contractor shall be entitled to grant access to and transfer the personal data of the Customer to third parties without any additional notifications to the Customer to the extent required for the above purpose of processing personal data. Data may be transferred for publication in the WHOIS database, as well as at the request of state bodies, individuals and legal entities authorised to receive such information in accordance with the legislation of Ukraine.
- 10.9. The Contractor shall use its best efforts to protect personal data from unauthorised access, modification, disclosure or destruction, ensuring their integrity and preventing illegal access, by taking steps necessary to ensure proper protection of personal data. These steps include but are not limited to encryption, two-factor authentication, verification of the collection and processing of personal data.
- 10.10. The Customer shall be entitled to receive information from the Contractor on what data the Contractor uses when providing the Services, methods of their protection, destruction, information about the persons receiving the Customer’s data for the purpose of their further processing, as well as to other rights provided by law.
- 10.11. The consent to process personal data shall be valid for the entire term hereof.
- 10.12. The Customer shall be entitled to revoke its consent to process personal data. Destruction of personal data shall be the ground for termination of the Contract and shall be performed on the basis of a written request from the Customer. In this case, the Contract shall be terminated upon destruction of the personal data.
- 10.13. The Contractor shall be entitled to deny deleting personal data to the Customer on the basis of orders and requirements of state bodies, to the extent established by the legislation of Ukraine.
- 10.14. Deletion of personal data shall give rise to the termination of the provision of the Services hereunder.
11. Privacy Policy
- 11.1. The Customer shall provide its data when signing up at the Contractor’s website, as well as when placing an order for the Service, to the extent that is necessary for the provision thereof.
- 11.3. When providing the Domain Name Registration and Maintenance Services, the data of the Customer/Registrant are transferred to executive officers and bodies carrying out the technical configuration, administration and support of the address space of the Internet.
- 11.4. The Registrant’s data may be transferred for publication in the WHOIS database, as well as at the request of state bodies, legal entities and individuals authorised to receive such information in accordance with the legislation of Ukraine in order to comply with the legislation of Ukraine.
- 11.5. Information regarding any business between the Contractor and the Customer (payer’s details, payment method, payment amounts, number of registered domains, scope of ordered services, order term and conditions, IP addresses of logins to the Customer’s account) is considered confidential information and shall be provided on the basis of a court decision.
